Dana Darzhanova

Dana joined Lex Analitik in August 2010.

Prior to joining the Company, Dana began her professional career through an internship in a branch office of the national oil company where she later obtained the position of legal assisstant. Dana later worked as a lawyer in a JSC and she also has experience working in an international oil company.

• Evaluation of legal risks of various transactions;
• Comprehensive legal support of business transactions, including major transactions
• Legal advice on M&A transactions;
• Practical knowledge of foreign legislation, i.e. Russian Federation, Cyprus, Isle of Man;
• Preparation of civil law contracts, i.e. choosing the form of contract, bringing contractual provisions in compliance with relevant legislation, negotiation of contractual terms;
• Representation of company’s interests before various public and private enterprises, agencies, establishments, profit and non-profit organisations, regardless of their legal business structure;
• Preparation of legal opinion and in-depth analysis on subsoil use;
• Analysis of procedures for the drafting and execution of a company’s contracts/agreements, examining the way received claims are handled  and proposing ways to overcome any identified problems.
• Preparation of official letters (power of attorney, queries, rejection letters, notice of termination of contract, responses to claims, etc.)
• Liaising with the state authorities (Department of Justice, Tax Committee, Financial Inspection Agency, Anti-monopoly authority, Statistics Administration )
• Due diligence of contracts;
• Preparation of various contracts (contractor agreements, service contracts, assignment agreements, sales and purchase agreements, supply agreements, lease agreements, loan agreements, option agreements);
• Registration of rights to immovable property;
• Registration and re-registration of legal entities (LLP, JSC);
• Legal support of subsidiary enterprises;
• Statutory reporting in relation to a JSC
• Registration of currency transactions at the National bank;
• Obtaining permits to engage foreign labour, liaising with the Department of Labour;
• Representation of legal interests in court.
